The following terms are presented to users of your branded IHUBApp Hub at registration. You are responsible for reviewing these terms and, where needed, providing an approved Addendum that reflects your organization's specific requirements. Any Addendum must be submitted to InspireHUB for written approval before it is presented to end users — see Section 19(b) and the instructions at support.ihub.app. Your Addendum may supplement but may not override or reduce any protection established in these terms. Any Addendum provision that purports to create obligations for InspireHUB without InspireHUB’s prior written approval is void and unenforceable. InspireHUB is not responsible for your failure to properly assess this End User License Agreement for your business purposes. You are responsible for ensuring your end users comply with the IHUBApp Acceptable Use Policy. If you wish to inform your end users that InspireHUB does not claim rights to their content beyond what is necessary for platform operation and data processing, you may include this statement in your Addendum. If you intend to make specific support commitments to your end users, define them in your Addendum. EU and EEA Users — Mandatory Requirement. If you accept registrations from users who are residents of the European Union or European Economic Area, you are required to: (a) configure your Hub on the Canadian instance of IHUBApp; (b) provide those users with a GDPR-compliant privacy notice that identifies you as data controller and InspireHUB Canada Holdings Inc. as data processor; and (c) ensure that the applicable Standard Contractual Clauses referenced in the IHUBApp Data Processing Agreement are in effect for all EU/EEA data subjects. This is a mandatory obligation, not a recommendation. Failure to comply is a material breach of your InspireHUB Terms of Service. If you are uncertain which instance your Hub is on, contact support@ihub.app before accepting EU or EEA registrations. Note that Section 14 contains a broad content indemnification trigger; enterprise Licensors operating in regulated industries are advised to seek independent legal review of this clause.
End User License Agreement
Understanding This Agreement in Plain Language
This first part gives you a clear picture of who this agreement is with, what you are agreeing to, and what matters most before you use this Hub. The full legal terms are in Part Two — please read both.
This is an agreement between you and the Licensor — the organization that built and operates this Hub. It is not an agreement between you and InspireHUB. InspireHUB provides the technology platform the Licensor uses to run their Hub, but InspireHUB is not a party to this agreement and is not responsible for the Licensor’s programs, events, services, or content. Questions about the Hub go to the Licensor.
The Licensor may have added specific terms through an approved Addendum. Those terms are part of your agreement with the Licensor. Check whether an Addendum has been provided before you register.
You own the content you post to this Hub. The Licensor — not InspireHUB — is your data controller and is responsible for how your personal information is handled. For data rights requests, contact the Licensor first. Third-party tools the Licensor has embedded may collect their own data — check the Licensor’s Addendum.
If you make a payment through this Hub, that transaction is between you and the Licensor. Stripe processes the payment. InspireHUB is not a party to your transactions. Refund and cancellation disputes go to the Licensor first.
The Licensor may suspend or remove your access at any time for violations of this agreement, the IHUBApp Acceptable Use Policy, or conduct harmful to the Hub community. InspireHUB does not get involved in individual user management decisions unless the Licensor specifically requests assistance.
Both InspireHUB and the Licensor limit their liability under this agreement. The Hub and the Licensor’s programs and services are provided “as is” — neither party warrants specific outcomes. Each party’s total liability is capped. See Sections 9 and 10 in Part Two for full details.
When you register you consent to receive the types of communications described in Part Two. You can manage, mute, or unsubscribe from any Hub notification at any time through your notification settings.
Legal Terms and Conditions
This Agreement is between you and the organization that owns and operates the Hub you are using (the “Licensor”). The Licensor has licensed the IHUBApp platform from InspireHUB to build and operate this Hub. InspireHUB is the technology provider and is not a party to this Agreement. If you do not agree to these terms, do not access or use the Hub. Terminology note: the Licensor may also be referred to as a “Hub Owner” in IHUBApp’s platform documentation and as a “Builder” in the IHUBApp Builder Terms. These terms refer to the same contracting party — the organization that has built and operates the Hub you are accessing.
By accepting this End User License Agreement (“EULA”), you: (1) waive any right or requirement under applicable law to have an original non-electronic signature, to the maximum extent permitted by law; (2) acknowledge that you have read and agree to InspireHUB’s Privacy Notice, available at inspirehub.com/privacy; and (3) acknowledge any additional privacy terms posted by the Licensor within the Hub.
InspireHUB may amend this Agreement from time to time. The following notice periods apply:
Non-material changes. For changes that do not materially affect your rights, InspireHUB will provide the Licensor with at least 30 days’ written notice via the IHUBApp dashboard and Builder interface. The Licensor must notify their end users no later than ten (10) business days after receiving that notice from InspireHUB, and in any event before the effective date. Continued use of the Hub after the effective date constitutes your acceptance.
Material changes. A material change is one that alters your indemnification obligations, the limitation of liability, InspireHUB’s data processing rights, or any term that substantively reduces your rights. For material changes, InspireHUB will provide the Licensor with at least 90 days’ written notice via the IHUBApp dashboard and Builder interface. The Licensor must notify their end users no later than ten (10) business days after receiving that notice, and before the effective date. You may stop using the Hub before the effective date if you do not accept the change.
1. Scope of License
The Licensor grants you, under rights sub-licensed from InspireHUB, a limited, non-exclusive, non-transferable, revocable license to access and use the Hub in connection with the Licensor’s services, programs, activities, and any transactions you initiate through the Hub’s payment features, on devices that you own or control. This license confers no title or ownership in IHUBApp and is not a sale of any rights in the platform.
You may not rent, lease, lend, sell, redistribute, transfer, sublicense, decompile, reverse engineer, modify, or create derivative works of IHUBApp or any part thereof. Any unauthorized use will result in automatic termination of your rights under this Agreement. All rights not expressly granted herein are reserved by InspireHUB and, with respect to the Licensor’s own Hub content and programs, by the Licensor.
2. Ownership
All rights, title, and interest in and to IHUBApp and all elements thereof — including copyrights, trademarks, patents, moral rights, content, logos, design elements, software, computer code, themes, methods of operation, and documentation — are owned by InspireHUB, its developers, and/or licensors (“Associated Parties”). IHUBApp may contain third-party materials, and the owners of such materials retain their respective rights.
3. Personal Information and Data Use
(a) Operational and Technical Data. InspireHUB collects technical information about your device, operating system, browser, and application usage to facilitate platform updates, troubleshoot issues, and provide support. This data is used to operate and improve IHUBApp and is not used to personally identify you.
(b) Personal Information. Where you provide personal information (such as your name or email address) in connection with registering for or using a Hub, that information is collected by the Licensor in its capacity as data controller, and processed by InspireHUB in its capacity as data processor on the Licensor’s behalf. The Licensor is responsible for how your personal information is used. For data subject rights requests — including access, correction, or deletion — contact the Licensor in the first instance. Where your request relates specifically to InspireHUB’s own processing, contact privacy@inspirehub.com.
(c) Third-Party Tracking and Analytics. The Licensor may have embedded third-party analytics, advertising, or tracking technologies in their Hub. These tools may collect additional data about your activity within the Hub beyond what InspireHUB collects for operational purposes. The Licensor is required to disclose any such tools in their approved Addendum. If you have concerns about tracking in a specific Hub, contact the Licensor directly or review their Addendum.
(d) Third-Party Solutions. The Licensor may use or embed third-party services, integrations, platforms, or tools as part of their Hub — including but not limited to authentication systems, booking platforms, form builders, video players, AI tools, and integrations with external services. InspireHUB does not endorse, vet, certify, or assume any responsibility for any third-party solution chosen or embedded by the Licensor. Third-party solutions operate under their own terms of service and privacy policies, which may collect and process your personal information independently of InspireHUB. You should review the applicable third-party terms before submitting personal information to any third-party solution embedded in the Hub. The Licensor is responsible for disclosing any material third-party solutions in their Addendum.
(e) AI Training. InspireHUB does not use your personal information or your Content to train AI models without your explicit, separate consent. InspireHUB creates anonymous, de-identified data from aggregated usage information to support and improve its services.
4. Notifications and Communications
By registering for and using the Hub, you consent to receive communications from the Licensor through the Hub. These communications may include:
- Hub updates, announcements, and general notifications;
- Event invitations, event updates, and related communications;
- Content updates for channels you have joined or subscribed to;
- Campaign communications where the Licensor has enabled the Hub’s Give functionality;
- Ticketing and registration confirmations and updates;
- Any additional communication types described in the Licensor’s approved Addendum.
You may manage, mute, or unsubscribe from any or all Hub notifications at any time through your notification settings within the Hub. InspireHUB automatically includes an unsubscribe mechanism in all email notifications sent through the Hub. You are never required to accept communications beyond what is necessary to administer your account.
The Licensor is responsible for ensuring that any commercial electronic messages they send comply with all applicable anti-spam and communications laws, including the Canadian Anti-Spam Legislation (CASL), the US CAN-SPAM Act, and applicable Australian communications laws. InspireHUB is not responsible for the content of messages sent by Licensors through the Hub.
5. Payment Transactions
Some Hubs enable payment features including ticket purchases for events, subscriptions to paid content channels, and contributions through the Hub’s Give functionality. The following terms apply to any payment you make through a Hub.
(a) Payment Processing. All payment transactions are processed by Stripe, Inc., InspireHUB’s third-party payment processor. When you make a payment through a Hub, your payment information is submitted directly to and processed within Stripe’s PCI DSS-certified environment. InspireHUB does not store your card number or payment credentials. Stripe’s own terms of service and privacy policy apply to your use of Stripe’s services.
(b) Disputes and Third-Party Transactions. Any dispute about a purchase, ticket, subscription, or contribution made through a Hub is between you and the Licensor. InspireHUB has no obligation to become involved in such disputes and makes no guarantee regarding the Licensor’s performance of any obligation to you.
(c) Refunds and Cancellations. Refund and cancellation policies for any payment made through a Hub are at the Licensor’s sole discretion, except where applicable consumer protection law provides mandatory rights that cannot be excluded by contract. Disputes about refunds or cancellations should be directed to the Licensor in the first instance.
(d) Give Functionality. The Give feature allows Licensors to collect payments for campaigns and projects of their choosing. InspireHUB makes no representation about the nature, purpose, or legitimacy of any campaign operated through the Give feature, and does not verify campaign descriptions or guarantee that funds will be used as represented by the Licensor. If you have questions about how your contribution will be used, contact the Licensor before contributing. If you believe a campaign is fraudulent or deceptive, contact the Licensor directly and, if you believe fraud has occurred, report it to the appropriate consumer protection authority in your jurisdiction.
6. Maintenance and Support
InspireHUB has no obligation to provide maintenance or support services with respect to the Hub directly to end users. InspireHUB will use commercially reasonable efforts to maintain platform availability but makes no guarantee of uninterrupted access. Any support commitments made by the Licensor to you are solely the Licensor’s responsibility and do not create any obligation for InspireHUB.
7. Termination
This Agreement is effective until terminated by you or the Licensor. Where practicable, the Licensor will provide notice of a material breach and a reasonable opportunity to remedy the breach (not less than fourteen (14) days) before terminating this Agreement. Where a breach is severe, illegal, or causes ongoing harm to the Hub community, the Licensor may suspend or terminate your access immediately and without prior notice.
The Licensor’s right to manage their Hub. The Licensor may, at their sole discretion, suspend or terminate any individual user’s access to their Hub at any time for: (a) material breach of this Agreement; (b) violation of the IHUBApp Acceptable Use Policy; (c) conduct that is harmful, disruptive, or offensive to other members of the Hub community; or (d) any other reason the Licensor reasonably determines is necessary to protect the integrity of their Hub and its users. Where circumstances permit, the Licensor will provide notice before taking action. InspireHUB has no involvement in individual user suspension or removal decisions except at the express written request of the Licensor.
Upon termination, you must cease all use of the Hub. Your personal data and Hub Content are handled as follows:
Paid Subscriptions. If you wish to retrieve your Content following termination of a paid subscription, submit a written request to the Licensor. The Licensor may in turn request InspireHUB’s assistance on your behalf. InspireHUB’s data retrieval obligations run to the Licensor, not directly to end users, in accordance with Section 2.11(a) of the IHUBApp Terms of Service. The Licensor must submit any such request within thirty (30) days of termination. After thirty-one (31) days, InspireHUB has no obligation to maintain or provide your Content or personal data.
Free Subscriptions. InspireHUB does not provide Content retrieval following termination of a free subscription. Contact the Licensor if you have questions about your data.
Hub Archiving. InspireHUB will archive any inactive, cancelled, suspended, or terminated Hub for twelve (12) months from termination. After that period, InspireHUB may offer continued archiving for a fee. If not selected, a deletion notice will be issued and all Hub data may be permanently deleted with no opportunity for restoration. See inspirehub.com/terms (Section 2.11) for full details.
Following the applicable retention period, your personal data will be deleted in accordance with InspireHUB’s Privacy Notice, except where retention is required by law.
8. Internet Access
IHUBApp may enable access to InspireHUB’s website and certain third-party websites. Use of third-party sites may require acceptance of additional terms. You understand that internet use may expose you to content you find objectionable, and that InspireHUB is not liable for third-party content you may encounter.
The Hub may not be available in all languages or all countries. InspireHUB reserves the right to change, suspend, remove, or disable access to the Hub or IHUBApp at any time without notice and without liability.
9. No Warranty
InspireHUB does not warrant that IHUBApp or its content, functions, or materials will be timely, secure, uninterrupted, or free of delays, failures, viruses, inaccuracies, or defects. You use IHUBApp at your own risk.
The Licensor’s programs, events, services, content, and materials made available through the Hub are provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, the Licensor makes no warranties, express or implied, regarding the accuracy, completeness, fitness for purpose, or outcome of any program, event, service, or content it offers through the Hub. This disclaimer does not affect any mandatory consumer protection rights you may have under applicable law.
10. Limitation of Liability
In no event shall InspireHUB’s total liability to you for all damages, losses, and causes of action exceed the greater of: (a) amounts paid by you directly to InspireHUB in the twelve (12) months preceding the claim; or (b) one hundred United States dollars (USD $100). Because end users of Hubs transact with Licensors — not with InspireHUB directly — InspireHUB does not ordinarily receive fees from you in connection with your Hub use. As a result, the USD $100 floor in (b) will ordinarily be the operative limit of InspireHUB’s liability to you. This cap is calibrated to reflect the absence of a direct billing or contractual relationship between InspireHUB and Hub end users.
To the maximum extent permitted by applicable law, the Licensor’s total liability to you for all claims arising out of or in connection with this Agreement, the Hub, or any programs, events, services, or content the Licensor makes available shall not exceed the greater of: (a) amounts actually paid by you to the Licensor in the twelve (12) months immediately preceding the claim; or (b) one hundred United States dollars (USD $100). This limitation applies regardless of the form or basis of the claim.
Nothing in this Agreement limits or excludes liability for: (i) death or personal injury caused by negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any other liability that cannot be excluded or limited by applicable law, including under the Australian Consumer Law.
11. Export Controls
You agree to comply with all applicable export control laws in connection with your use of the Hub, including Canada’s Export and Import Permits Act and the Special Economic Measures Act (SEMA), as well as applicable U.S. export laws where relevant. You may not use or export the Hub in a manner that would violate applicable sanctions or embargo laws, or to any person or entity on a prohibited-party list.
12. Commercial Items
The Hub and related documentation are commercial computer software and commercial computer software documentation, as defined under applicable procurement regulations. Any use by government end users is subject to the terms and conditions of this Agreement and only those rights granted to all other end users.
13. Injunctive Relief
You acknowledge that a violation of this Agreement may cause InspireHUB or the Licensor irreparable harm for which monetary damages alone would be an inadequate remedy. InspireHUB and the Licensor are each entitled to seek injunctive relief and other equitable remedies in respect of any breach of this Agreement that causes or threatens irreparable harm, in addition to any other remedies available at law.
14. Indemnification
You agree to indemnify, defend, and hold harmless InspireHUB, its licensors, and its Associated Parties, and the Licensor and each of their respective affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of IHUBApp or the Hub in violation of this Agreement or applicable law; (b) your violation of any applicable law; (c) your breach of this Agreement; or (d) any Content you post, upload, or transmit through the Hub. The Licensor reserves the right to assume control of the defence of any matter subject to indemnification by you, in which case you agree to cooperate fully with the Licensor’s defence at no cost to the Licensor.
The foregoing indemnification obligation does not apply to the extent that the Claim arises from InspireHUB’s or the Licensor’s own gross negligence, wilful misconduct, or material breach of this Agreement.
InspireHUB’s Direct Enforcement Rights. InspireHUB, as the technology provider whose platform underlies this Agreement, has independent rights under this Agreement, including the right to enforce the intellectual property, warranty, liability, indemnification, and compliance provisions herein against you, notwithstanding that InspireHUB is not a signatory to this Agreement. These rights arise from InspireHUB’s role as platform licensor and exist independently of any characterisation of InspireHUB as a third-party beneficiary under any other agreement. InspireHUB may exercise these rights directly and without requiring the Licensor’s involvement or consent.
15. Content
You are responsible for all materials (“Content”) that you upload, post, or store through your use of the Hub. As between you and the Licensor, you retain ownership of your Content unless the Licensor has specified otherwise in their Addendum. If no Addendum was presented to you at the time of registration, this default position applies. InspireHUB cannot know the nature or purpose of every Hub built on its platform, and some Licensors may operate Hubs where contributed content forms part of a collective work, licensed program, or other arrangement that requires different ownership terms. If the Licensor’s Addendum specifies different ownership or licensing terms for Content submitted to their Hub, those terms govern. You grant the Licensor a worldwide, royalty-free, non-exclusive license to host, display, and transmit your Content as necessary to operate and provide the Hub. Archive your Content regularly. You are responsible for any Content that is lost or unrecoverable.
You agree not to use the Hub to upload, post, distribute, or transmit any of the following:
- Illegal, fraudulent, defamatory, obscene, pornographic, threatening, abusive, hateful, or otherwise objectionable content that would give rise to criminal or civil liability;
- Content that impersonates another person or falsely represents your identity or qualifications;
- Unsolicited commercial communications, chain letters, pyramid schemes, or spam, except as expressly permitted by InspireHUB in writing;
- Viruses, trojan horses, worms, or other disruptive or harmful software or data; or
- Content to which you do not hold the necessary rights, permissions, or licences.
Neither InspireHUB nor the Licensor will use your Content to train artificial intelligence models without your explicit, separate consent.
Your use of the Hub is also subject to InspireHUB’s Acceptable Use Policy (AUP). By using the Hub you agree to comply with the AUP, which forms part of the legal framework governing your use of IHUBApp. In the event of any conflict between Section 15 of this Agreement and the AUP, the AUP prevails.
16. Community Forums
The Hub may include community forums or social features that allow users to exchange Content and information. InspireHUB and the Licensor do not monitor or control, and are not responsible for, content posted in community forums. Please interact respectfully with other users and do not share information you wish to keep private.
17. Feedback
If you choose to provide feedback, suggestions, or ideas regarding IHUBApp or the Hub (“Feedback”), you grant InspireHUB a royalty-free, worldwide license to use that Feedback for the purpose of evaluating, developing, and improving IHUBApp and related products and services. You also grant the Licensor a royalty-free license to use Feedback relating to their Hub, programs, and services for the development and improvement of those offerings. Neither InspireHUB nor the Licensor claims ownership of your Feedback ideas, and neither may disclose your identity in connection with your Feedback without your consent.
18. Content Monitoring
InspireHUB is the technology provider and facilitator for this Hub. InspireHUB does not monitor, moderate, or manage individual Content or user accounts within a Licensor’s Hub, and will not do so except at the express written request of the Licensor and under the Licensor’s direction. The Licensor is solely responsible for all content moderation decisions and user management within their Hub.
Where InspireHUB determines that a Hub or activity within a Hub violates the IHUBApp Terms of Service or Acceptable Use Policy, InspireHUB’s remedy operates at the Hub level — which may include suspending or terminating the Licensor’s Hub. InspireHUB does not make individual content removal or user suspension decisions within a Hub except under the Licensor’s direction.
InspireHUB may disclose information as required to satisfy applicable legal obligations, including in response to lawful orders, subpoenas, or regulatory requirements.
19. Miscellaneous
(a) Entire Agreement. This Agreement, together with any approved Addendum provided by the Licensor, constitutes the entire agreement between you and the Licensor with respect to the Hub and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written.
(b) Amendments and Addendums
Template updates. InspireHUB provides and maintains this agreement as the licensor of the IHUBApp platform. InspireHUB reserves the right to update this template from time to time to reflect changes in the platform, applicable law, or operational requirements. InspireHUB notifies Licensors of any updates through the IHUBApp dashboard and Builder interface. The Licensor must notify their end users of any update no later than ten (10) business days after receiving notice from InspireHUB, and in any event before the effective date. Failure by the Licensor to notify their end users does not affect InspireHUB’s right to enforce the updated terms from the effective date. However, an end user who was not notified due to the Licensor’s failure retains the right to raise that failure as a claim against the Licensor; it does not constitute a defence against InspireHUB.
Licensor Addendum. The Licensor may add a Licensor Addendum that supplements these terms, subject to the following:
- The proposed Addendum must be submitted to InspireHUB for written approval before it is presented to end users (instructions: support.ihub.app); InspireHUB’s approval is limited to confirming the Addendum does not commit InspireHUB to new obligations or reduce end user protections — it is not a representation that the Addendum is legally compliant in the Licensor’s jurisdiction;
- The Addendum must supplement but not override, reduce, or contradict any protection established in this Agreement;
- Any Addendum provision that purports to bind InspireHUB to any obligation that InspireHUB has not approved in writing is void and unenforceable;
- The Licensor remains solely responsible for the content and legal compliance of their Addendum.
(c) Severability. If any provision of this Agreement is determined to be invalid or unenforceable under applicable law, that provision will be deemed superseded by a valid, enforceable provision that most closely matches the original intent, and the remainder of the Agreement will continue in full effect.
(d) Governing Law and Dispute Resolution
The governing law and jurisdiction of this Agreement are determined by the instance on which the Hub is hosted:
| Hub Instance | Governing Law | Courts |
|---|---|---|
| Canadian Instance | Province of Ontario and federal laws of Canada | Ontario Superior Court of Justice |
| US Instance | State of Colorado | State and federal courts, Denver CO |
| Australian Instance | State of New South Wales | Courts of New South Wales |
If you are uncertain which instance applies to your Hub, contact the Licensor or refer to the Hub’s privacy notice. The parties agree to attempt to resolve any dispute through good-faith negotiation before pursuing mediation or litigation. Notwithstanding the governing law, InspireHUB may seek injunctive or equitable relief in any court of competent jurisdiction.
Entity liability. Where your Hub involves multiple InspireHUB entities, the InspireHUB entity identified as the contracting party in the IHUBApp Terms of Service applicable to the Licensor’s Hub bears sole and primary contractual liability to you. InspireHUB’s group structure does not create joint and several liability across InspireHUB entities. If you are unsure which entity bears responsibility for a particular matter, contact the Licensor, who can direct your query to the appropriate InspireHUB entity.
(e) Language. If this Agreement is translated into a language other than English, the English version prevails to the extent of any inconsistency. All disputes, documents, and proceedings related to this Agreement shall be conducted in English, except where prohibited by applicable law.
(f) Assignment. InspireHUB may assign any of its rights and transfer, sub-contract, or delegate any of its obligations under this Agreement. The Licensor may assign this Agreement to a successor organization in the event of a merger, acquisition, reorganization, or transfer of substantially all of its assets or operations, provided that the successor assumes all of the Licensor’s obligations under this Agreement and end users are notified of the assignment. This Agreement is personal to you and may not be transferred or assigned to a third party without prior written consent.
(g) Waiver. Neither InspireHUB’s nor the Licensor’s failure to exercise or enforce any right or provision of this Agreement shall constitute a waiver of that right or provision.
Questions regarding this Agreement may be directed to InspireHUB via inspirehub.com or support@ihub.app
